Malaysia’s 2026 STSDS makes lease stamping an evidence workflow. Assign the payer, review the submission, prove payment and retain seven-year records.

Stamp duty used to appear near the end of many industrial lease checklists as a cost and a receipt. Malaysia’s Stamp Duty Self-Assessment System changes the operating risk behind that line item. For Phase 1 instruments, the party responsible for duty, or an appointed agent, supplies the facts, reviews the return, self-assesses, pays and preserves the evidence. A tenant should therefore treat stamping as a controlled handover between the signed lease and occupation, not as a vague instruction to a solicitor or administrator. This guide focuses on that evidence trail; it does not calculate duty or replace legal and tax advice for the actual instrument.

Start with the 2026 Phase 1 boundary

HASiL states that STSDS began in phases on 1 January 2026 and that Phase 1 includes lease and tenancy instruments, alongside securities and general stamping. The Ministry of Finance’s Tax Measures 2025 describes the policy shift in the same terms: the duty payer or appointed agent uploads information, self-assesses the duty and pays within the specified time. This is a process change, not a new label for the old assessment-notice workflow. For an industrial occupier, the trigger is the executed instrument and its classification, not the date on which keys are collected or rent first leaves the bank.

The first transaction gate is scope confirmation. Ask the appointed adviser to identify every executed instrument in the deal, including the principal lease, supplemental tenancy terms, side letters, fit-out arrangements, guarantees and later variations, and to state which documents are submitted together or separately. Do not assume that calling an agreement a licence, service agreement or built-to-suit arrangement determines its stamp treatment. Record the advice, execution dates, place of execution and the date an overseas-executed instrument first arrives in Malaysia where relevant. The operational guideline sets timing by the instrument’s facts, so an internal commencement date cannot repair a missed stamping deadline.

Name the payer, agent and final reviewer

The STAMPS FAQ says the liable party is determined under the relevant Stamp Act schedule, that persons involved need a Tax Identification Number, and that a payer may appoint a representative or agent. That appointment is useful but it should not turn accountability into a blank space. In the lease closing checklist, identify the liable payer, the MyTax account used, the authorised submitter, the person supplying commercial facts, the adviser checking classification and calculation, and the executive authorised to release payment. If landlord and tenant share costs contractually, distinguish that private allocation from the person responsible to the revenue authority.

  • Record the legal names, registration numbers and TINs of the parties shown in the executed instrument.
  • Keep the signed appointment or written authority for every representative who can submit, amend or retrieve the stamping record.
  • Assign one person to reconcile the final signed lease against the version used to prepare BNDS.
  • Assign a different named approver for the calculation summary and payment reference where practical.
  • Set a handback deadline for the submission acknowledgement, payment proof and electronic stamp certificate.
  • State who must answer later HASiL queries after an agent’s engagement or an employee’s access ends.

An effective responsibility matrix is short enough to use and precise enough to audit. It should link each role to an evidence item rather than say only that the lawyer will handle stamping. Operator inference: the tenant can make delivery of this matrix and authority evidence a condition to completion or occupation. That does not transfer a statutory liability, but it prevents the practical failure in which each party thinks another person reviewed the return. If the agent cannot show the authority, access route or named reviewer, pause before submission rather than reconstruct responsibility after the assessment is deemed made.

Review BNDS before the deemed assessment

HASiL’s operational guideline says BNDS submitted together with the instrument is treated as an assessment. It also directs the payer to complete and review the return and, under STSDS, inspect the calculation summary before submitting. This makes the pre-submit pack the most important quality-control point. Compare the portal entry with the final signed pages, schedules and commercial summary. Check party identity, execution facts, property description, term, options, consideration and any facts used to classify the instrument. Confirm that the uploaded file is complete, legible and actually the executed version, not the last circulating draft.

  • Save an immutable copy of the final executed instrument and a file hash or controlled document identifier.
  • Prepare a one-page fact sheet sourced from the lease, with a page reference for each value entered into BNDS.
  • Retain the completed BNDS or submission preview and the calculation summary reviewed before the submit action.
  • Capture the submission timestamp, acknowledgement and unique adjudication or transaction reference.
  • Record any assumption, legal interpretation or missing document escalated before submission and its resolution.
  • Restrict portal screenshots to evidence that adds value; the authoritative file set is the submitted data, instrument and official outputs.

The review should be substantive, not a screenshot ceremony. A clean portal image cannot prove that a rent-free period, renewal option, premium, guarantee or side arrangement was classified correctly. Conversely, the property team should not rewrite tax advice. Its role is to make commercial facts traceable to source pages and to insist that uncertainty is resolved by the qualified adviser before the submit action. Where the transaction changes after signing, open a change record and obtain advice on whether a fresh or supplemental instrument requires a separate route. Do not overwrite the first evidence pack with a later version.

Close the payment and certificate loop

The operational guideline places payment after the deemed assessment and identifies the adjudication number as the reference used across the stated channels. It also explains that the stamp certificate can be printed after payment and that an instrument is duly stamped only when the correct duty has been paid and the certificate is attached. For a lease transaction, a debit from a bank account is therefore only one link. Reconcile the amount, official reference, payer, date, official receipt and electronic certificate to the same submitted instrument before treating stamping as closed.

  • Use the official reference displayed for the submitted instrument and verify it again before releasing payment.
  • Keep bank evidence, the official payment receipt and any payment-status confirmation as separate records.
  • Retrieve the electronic stamp certificate and attach or bind it to the controlled copy of the executed lease.
  • Verify that party names, instrument details, reference and paid amount agree across the return, receipt and certificate.
  • Log failed, reversed, duplicated or late payments and preserve the resolution trail rather than deleting the first attempt.
  • Send the closed pack to both the contractual record owner and the party who must support a later HASiL review.

Operator inference: make the reconciled certificate pack an occupation gate when stamp completion is material to the parties' legal or financing arrangements. The lease can allocate who pays and how reimbursement works, but the project plan should not mark the task complete on an agent’s email saying paid. If the reference is wrong, the certificate is missing or the instrument copy differs from the submitted file, treat it as an exception with an owner and deadline. The right remedy depends on the actual facts; obtain professional guidance rather than submitting a second return simply to make the dashboard look green.

Build the seven-year review file

HASiL’s guideline requires the duty payer to retain the stamped instrument and electronic stamp certificate for seven years from payment. Its review section also says a payer, agent or representative may be reviewed and that a comprehensive review can examine executed instruments in the auditee’s custody. The FAQ repeats the seven-year responsibility. A locked folder that only one departed employee can open is not a defensible record system. Preserve the original electronic files, their context and the access needed to retrieve them through staff, adviser and system changes.

  • Index the executed instrument, schedules, side documents, authority records, fact sheet, BNDS, calculation review, acknowledgement, receipt and stamp certificate.
  • Record the payment date and calculate a minimum retention end date, while checking whether other legal or corporate policies require longer retention.
  • Use controlled read access, backup and restoration testing so the pack remains recoverable after personnel or vendor changes.
  • Maintain a version log for corrections, supplemental instruments, HASiL correspondence and advice received after submission.
  • Keep a contact and handover record for the liable payer, agent and internal record custodian throughout the retention period.
  • Run a periodic sample retrieval: a reviewer should be able to trace every BNDS fact to the signed lease and every payment output to the official reference.

Do not misread the first-year concession. HASiL’s guideline describes a 2026 remission for the specified section 72D error penalty, while preserving unpaid duty and other consequences. Malaysian Bar Circular 466/2025 likewise warns that the waiver is limited and does not extend to every penalty. It is not permission to submit unchecked data, pay late or discard evidence. If a review finds an error, record when it was discovered, prevent further reliance on the incorrect pack and obtain prompt advice on correction, additional duty and any remaining penalty exposure.

The property decision is practical: do not let an industrial lease pass from signing to occupation with an unnamed payer, an unreviewed BNDS, an unreconciled payment or an inaccessible archive. Factory King can help keep the premises search and transaction milestones visible, while the appointed legal and tax professionals determine the correct treatment of the real instrument. A complete STSDS evidence trail does not guarantee that every judgment is right, but it makes responsibility explicit, exceptions visible and a later review answerable from records rather than memory.
